Engagement & Scope of Work
CONTRACTUAL FOUNDATION
By commissioning Webinsio for software engineering, website development, MVP builds, or technical consulting, you enter into a binding agreement governed by these Terms and the project-specific Statement of Work (SOW).
- •Statements of Work: Every engagement is preceded by an itemized SOW outlining exact features, technical architecture, timeline estimates, and fixed milestone pricing.
- •Scope Discipline: Any additions or substantial modifications outside the agreed SOW are scoped as separate change orders with transparent timeline and price impact.
- •Independent Contractor Status: Webinsio performs all services as an independent technical contractor. Nothing herein creates an employer-employee or partnership relationship.

100% Intellectual Property Ownership
UNCONDITIONAL IP TRANSFER
We believe you should own what you pay for. Upon receipt of full payment for each respective milestone or deliverable, all rights, title, source code, database architectures, Figma UI assets, and intellectual property created specifically for your project are unconditionally transferred to your company.
- •Git Repositories: Full admin ownership of GitHub/GitLab repositories transferred to client organizations.
- •Deployment Credentials: All cloud accounts, domains, DNS records, and production hosting remain in the client’s custody.
- •Open Source Components: Standard MIT/Apache open-source libraries used in development remain subject to their respective licenses.
Webinsio retains zero proprietary lock-in. You are never trapped in a proprietary closed platform.

Payment Terms & Milestone Structure
TRANSPARENT SPRINT BILLING
To ensure alignment and minimize client financial exposure, project payments are structured around observable deliverables rather than arbitrary calendar dates.
- •Fixed-Scope Sprints: Standard projects utilize a structured 50% initiation advance and 50% upon staging acceptance, or staged multi-milestone payouts (e.g. 30% / 30% / 40%).
- •Invoice Pacing: Invoices are rendered in INR (for Indian clients) or USD (for international clients) and payable within 7 business days.
- •Applicable Taxes: Invoices for Indian domestic clients include standard Goods & Services Tax (GST) with valid input credit receipts.

COLLABORATIVE DELIVERY
Timely engineering delivery depends on proactive collaboration between our engineering team and your stakeholders.
- •Access Credentials: Prompt provisioning of necessary third-party API keys, domain DNS access, or external service accounts.
- •Review Turnaround: Providing written feedback or approval on milestone preview deployments within 5 business days.
- •Designated Point of Contact: Nominating a primary stakeholder empowered to make product and feature decisions.

30-Day Post-Launch Warranty
ENGINEERING ACCOUNTABILITY
Every production deployment completed by Webinsio includes a complimentary 30-day warranty starting from live DNS launch.
- •Covered Scope: Prompt resolution of any functional bugs, broken endpoints, or rendering regressions that deviate from the agreed SOW.
- •Exclusions: Feature additions, third-party API outages outside our control, or modifications introduced by third-party developers.
- •Ongoing Retainers: Post-warranty maintenance, server security monitoring, and feature iteration are available via flexible monthly retainers.

Governing Law & Dispute Resolution
STATUTORY JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or proceeding arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Kanpur, Uttar Pradesh, India.
